Terms of Service

These Terms of Service ("Terms") govern your use of the Zayn Predictions mobile application and any related websites or services (collectively, the "Service"). The Service is operated by Idea-Tects LLC ("we," "us," "our"). By creating an account, subscribing, or using the Service, you agree to these Terms.

If you do not agree, do not use the Service.

1. Who We Are

Idea-Tects LLC is a limited liability company headquartered in Austin, Texas. Zayn Predictions is a research and information product operated by Idea-Tects LLC. We are not a broker, exchange, financial advisor, or fiduciary. We are not affiliated with, endorsed by, or sponsored by any prediction-market exchange, sportsbook, data provider, or league whose events the Service references.

2. Eligibility

To use the Service you must:

• Be at least 18 years old;
• Be a legal resident of a jurisdiction where use of the Service and any exchange you connect (see Section 6) is legal;
• Have the legal capacity to enter into a binding contract;
• Not be a person subject to U.S. sanctions, export controls, or listed on any U.S. government prohibited-parties list;
• Use the Service in compliance with all applicable laws.

By using the Service you represent that all of the above are true. We may require age or residency verification at any time and may terminate accounts that do not meet these requirements.

3. What the Service Is

The Service provides software-generated research and predictions about events traded on public prediction-market exchanges. For each tracked market, we enrich external data (including but not limited to weather forecasts, sports data, monetary-policy probabilities, and cryptocurrency prices) and use a machine-learning model to output a calibrated probability estimate, a confidence score, and a brief human-readable explanation.

The Service is not investment advice. Predictions are informational only. Any decision to trade, invest, or risk money based on content shown in the Service is your own. Past model performance does not guarantee future results, and any historical win rates shown in the Service or in marketing are descriptive, not a forecast.

4. Subscription Plans and Billing

The Service is offered on a paid-subscription basis. Current plans are:

• Basic — monthly subscription that includes a seven (7) day free trial for first-time subscribers, then billing begins at the then-current price.
• Pro — monthly subscription with no free trial; billing begins immediately on purchase. Pro includes the Basic features plus the optional Zayn Bot feature described in Section 6.

Prices are displayed in the Service and in the applicable app store. Subscriptions are processed and billed by the Apple App Store or Google Play Store (the "App Store") in accordance with the App Store's terms. Subscriptions auto-renew at the end of each billing period unless you cancel at least 24 hours before renewal. You can cancel at any time through the App Store; cancellation takes effect at the end of the then-current billing period.

We do not issue refunds for partial billing periods. Refund requests must be made to the applicable App Store under its policies.

If you are in a free trial and do not cancel before the trial ends, your subscription converts to a paid subscription and you will be charged.

5. Zayn Bot Feature (Pro Subscribers Only)

Zayn Bot is an optional backend service available only with a Pro subscription. The mobile application does not execute trades. The app is a configuration and monitoring interface only; all order placement happens on Idea-Tects LLC's server-side infrastructure running in Amazon Web Services, using the API key you provide.

When you enable Zayn Bot you voluntarily provide the Service with an API key you have generated on your own account at a third-party prediction-market exchange (currently Kalshi, operated by KalshiEX LLC). By providing that API key you authorize Idea-Tects LLC's backend service to place orders on your account, on your behalf, in the event categories you explicitly enable, subject to the per-trade dollar limits you configure in the app.

You understand and agree that:

• You retain full custody of your funds and trading account. We do not take custody of any money. All orders are placed through your own account at the third-party exchange.
• All trades use your exchange balance and your exchange API key. Losses are borne by you; gains accrue to you.
• Order execution occurs on our server-side systems, not on your device. The mobile application displays the Bot's activity (orders placed, balance, status) but is not itself a brokerage or trading terminal.
• Your relationship with the third-party exchange is governed by that exchange's own terms of service. We are not a party to that relationship and have no authority over the exchange.
• We do not guarantee that any order will be placed, filled, or settled. Orders may fail for many reasons including exchange downtime, insufficient balance, API rate limits, credential revocation, or risk checks performed by the Service.
• You can disable Zayn Bot at any time from the Service. Disabling deletes the stored API key from our systems. Positions already open at the exchange remain open; you are solely responsible for managing or closing them.
• You are solely responsible for securing your exchange account, including your API key scope, withdrawal controls, and two-factor authentication.

We store your API key encrypted at rest in AWS Secrets Manager, scoped to your account, and accessed only by the specific backend service that places orders. See the Privacy Policy for details.

6. Risk Disclosure

Prediction markets are speculative. You can lose the entire amount you deposit at the exchange. A contract you buy can settle to zero if the outcome goes against your position. Volatility, illiquidity, sudden settlement, exchange error, and data-feed error can all cause losses. The Service is a research tool — it does not and cannot protect you from market losses.

You acknowledge that:

• You have read, understood, and accept the risks of trading prediction-market contracts;
• You are not relying on the Service as the sole basis for any trading decision;
• You will not risk money you cannot afford to lose;
• No content in the Service is a recommendation to buy, sell, hold, or avoid any contract;
• Model outputs are probabilistic, will be wrong a meaningful percentage of the time, and are not a forecast of future performance;
• The Service may be incorrect, delayed, or unavailable. Data inputs may be wrong or stale. You should verify anything that matters to you before acting on it.

7. Your Account and Credentials

You are responsible for your account, your login credentials, any API key you provide to the Service, and all activity that occurs under your account. Notify us at admin@idea-tects.com immediately if you suspect unauthorized access.

8. Acceptable Use

You agree not to:

• Reverse-engineer, decompile, or attempt to extract the underlying model, prompts, or proprietary logic of the Service;
• Scrape, resell, redistribute, or commercially exploit the predictions, signals, or any data shown in the Service;
• Interfere with or disrupt the Service or any third-party systems the Service interacts with (including the exchange);
• Share your account credentials or allow another person to use your subscription;
• Use the Service to engage in market manipulation, fraud, money laundering, or any other illegal activity;
• Use automated tools (bots, scrapers, crawlers) to access the Service beyond its documented functionality.

We may suspend or terminate your access for any violation.

9. Intellectual Property

The Service, including its user interface, code, models, signals, and written content, is owned by Idea-Tects LLC and protected by U.S. and international intellectual-property laws. You are granted a personal, limited, non-exclusive, non-transferable license to use the Service for its intended purpose during the term of an active subscription. No rights are granted by implication or estoppel.

Feedback you provide may be used by us without restriction.

10. Third-Party Services

The Service interoperates with third-party services including Amazon Web Services, Apple, Google, RevenueCat, and prediction-market exchanges. Your use of those services is governed by their respective terms. We are not responsible for the acts or omissions of third-party services.

11. Termination

You may terminate your relationship with us at any time by canceling your subscription (via the App Store) and deleting your account. We may suspend or terminate your access for violation of these Terms, suspected fraud, non-payment, or at our discretion. Sections that by their nature should survive termination (including Risk Disclosure, Disclaimers, Limitation of Liability, Indemnification, and Dispute Resolution) survive.

12. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR AVAILABILITY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; THAT PREDICTIONS WILL BE PROFITABLE; OR THAT ANY ORDER WILL BE FILLED OR SETTLED AS EXPECTED.

NOTHING IN THE SERVICE IS FINANCIAL, LEGAL, TAX, OR INVESTMENT ADVICE. IDEA-TECTS LLC IS NOT A REGISTERED BROKER-DEALER, INVESTMENT ADVISER, OR COMMODITY POOL OPERATOR.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IDEA-TECTS LLC AND ITS OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN SUBSCRIPTION FEES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

We are not liable for trading losses you incur at a prediction-market exchange, whether placed manually or by the Zayn Bot feature.

Some jurisdictions do not allow certain limitations; in those jurisdictions our liability is limited to the greatest extent permitted.

14. Indemnification

You agree to indemnify and hold harmless Idea-Tects LLC and its officers, employees, agents, and affiliates from any claim, damage, liability, or expense (including reasonable attorneys' fees) arising out of (i) your use of the Service, (ii) your violation of these Terms, (iii) your violation of any law or third-party right, or (iv) any activity on your exchange account (including Zayn Bot activity).

15. Dispute Resolution; Arbitration; Class Waiver

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, conducted in Austin, Texas or by video conference at your election. YOU AND IDEA-TECTS LLC EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION. The arbitrator may award only individual relief and may not consolidate claims. This section survives termination.

If the class-action waiver is held unenforceable, the entire arbitration agreement is void as to the affected claim, and that claim proceeds in court.

Exception — small claims: Either party may bring an individual action in small-claims court for disputes within that court's jurisdiction.

16. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Subject to Section 15, exclusive venue for any court proceeding is the state or federal courts located in Travis County, Texas.

17. Changes to These Terms

We may update these Terms from time to time. If we make a material change we will notify active subscribers by email or in-app notice at least seven (7) days before the change takes effect. Continued use of the Service after the effective date constitutes acceptance.

18. Severability; Entire Agreement; No Waiver

If any provision of these Terms is held unenforceable, the remainder remains in effect. These Terms, together with the Privacy Policy and any order-form or in-app disclosure, constitute the entire agreement between you and Idea-Tects LLC regarding the Service and supersede all prior agreements. Our failure to enforce a provision is not a waiver of our right to do so later.
